1. Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Adlef Network LLC (“Adlef”, “we”, “us”, or “our”), concerning your access to and use of the https://adlef.com website, as well as any other media form, hosting dashboard, API, channel, or mobile application related or connected thereto (collectively, the “Services”).

Adlef Network LLC is registered as a Limited Liability Company in Georgia under Identification Number 426125212, registered by the LEPL National Agency of Public Registry on 12/09/2022. Our registered office is located at Georgia, City Borjomi, Meskheti str, N 31g, office space N 3.

By purchasing or using our Services, you acknowledge that you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, you are explicitly prohibited from using our Services, and you must cease utilization immediately.

2. Eligibility & Accounts

To register for an account or purchase subscription plans on our website, you must be at least 18 years of age, or have the legal capacity to enter into binding legal agreements under the laws of your home jurisdiction and Georgia.

When creating an account, you agree to:

• Provide accurate, current, and complete registration and business demographic details.
• Maintain the confidentiality and security of your account credentials, passwords, and API keys.
• Promptly update your registered email address or billing credentials in the event of changes.
• Assume full responsibility for all activities, files, databases, scripts, and processes executed under your account credentials.

We reserve the right to suspend, terminate, or force password resets for any account that provides misleading, incomplete, or fraudulent registration details.

3. Services & Uptime SLA

Adlef provides shared hosting, WordPress hosting, virtual private servers (VPS), dedicated servers, and related administration services.

We aim to deliver 99.9% network uptime on all hosting services. Uptime calculations exclude scheduled maintenance windows (notified at least 24 hours in advance) and issues arising from:

• Errors in customer-implemented web code, WordPress themes, or third-party plugins.
• Incomplete domain settings, DNS cache propagation delays, or incorrect client nameserver values.
• Client database corruption, storage over-allocation, or high CPU utilization caused by unoptimized scripts.
• Force Majeure events, upstream internet carrier disruption, or massive DDoS incidents exceeding server mitigation limits.

4. Domain Registrations

Domain name registrations and transfers are governed by ICANN regulations and registries. When you purchase a domain name through Adlef:

• You guarantee that registration of the domain does not infringe upon trademark rights or intellectual property rights of any third party.
• You acknowledge that domain registration is non-refundable once registered with the respective central registry.
• You are solely responsible for ensuring the domain name is renewed on time. Adlef sends automated renewal reminders, but cannot be held liable for domains that lapse due to failed payment methods or non-action.

5. Billing, Renewals, & Cancellation

Subscription Fees: You agree to pay all charges associated with your selected hosting plan as displayed during the checkout process. All fees are invoiced in US Dollars (USD) or alternative local currencies where explicitly specified.

Automatic Renewal: To prevent service interruptions, all hosting subscriptions are configured to renew automatically at the end of each billing cycle (e.g., monthly, annually). You may disable automatic renewal in your client control panel at any time.

Late Payments: Accounts with unpaid invoices exceeding 5 calendar days will be automatically suspended. Accounts unpaid after 30 calendar days are subject to permanent termination and deletion of all hosting files, databases, and configuration settings.

6. Acceptable Use Policy (AUP)

You must use our web hosting services solely for lawful purposes. You agree NOT to use the services to host, upload, link to, or transmit content that:

• Violates any local, national, or international laws or regulations, including those of Georgia.
• Infringes upon any copyrights, patents, trademarks, or proprietary trade secrets of others.
• Distributes malware, trojans, ransomware, or hosts phishing pages designed to steal user credentials.
• Involves sending unsolicited mass commercial emails (SPAM) or utilizing scripts that cause server blocklisting.
• Hosts illegal adult content, encourages violence, or promotes hate speech.
• Attempts to compromise server node security, executes port scans, hosts IRC bots, or runs crypto-currency mining software.

Adlef reserves the sole right to suspend or permanently terminate any customer hosting node violating this AUP without prior warning and without liability for refunds.

7. Intellectual Property Rights

Unless otherwise indicated, our website, client portals, brand marks, custom designs, software assets, website source code, databases, layouts, and copy content are our proprietary property or licensed to us, and are protected by copyright, trademark laws, and other intellectual property rights.

You retain complete ownership of all website contents, files, databases, trademarks, and intellectual property uploaded or hosted by you on Adlef servers. You grant us a limited, temporary license to host, copy, transmit, and backup this content solely to provide the Services to you.

8. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ADLEF NETWORK LLC DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES, OR THAT DATA LOSS WILL NOT OCCUR. CLIENTS ARE STRONGLY ENCOURAGED TO MAINTAIN INDEPENDENT OFFSITE COPIES OF ALL WEBSITE ASSETS AND DATABASES.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Adlef Network LLC, its directors, employees, partners, or sub-processors be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages (including, without limitation, loss of business profits, data loss, business interruption, or damage to business reputation) arising out of or in connection with your use or inability to use the Services.

Our total cumulative liability for all claims of any kind arising out of this agreement or the use of our web hosting services shall not exceed the total amount actually paid by you to Adlef Network LLC for the specific services that caused the damage during the three (3) month period immediately preceding the event giving rise to the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Adlef Network LLC, its corporate affiliates, officers, agents, and employees from and against any third-party claims, liabilities, damages, losses, costs, or expenses (including reasonable legal and attorney fees) arising from:

• Your violation of these Terms and Conditions or our Acceptable Use Policy.
• Any content, scripts, databases, or materials hosted or executed on your assigned servers.
• Your infringement of any third-party copyright, trademark, patent, or privacy rights.

11. Governing Law & Dispute Resolution

These Terms and Conditions, your relationship with us, and any dispute or claim arising out of or in connection with it shall be governed by, interpreted, and construed strictly in accordance with the laws of Georgia, without regard to conflict of law principles.

You and Adlef Network LLC agree that any legal actions, claims, disputes, or proceedings arising under or in connection with these Terms shall be brought exclusively in the competent courts of Georgia, and both parties hereby submit to the personal jurisdiction and venue of such courts.

12. Modifications of Terms

We reserve the right to edit, modify, or update these Terms and Conditions at our sole discretion at any time. We will indicate the date of the latest update at the top of this document.

If modifications are material to your service billing, SLA, or legal rights, we will notify you at least 14 days in advance via email or through an announcement page in your billing dashboard. Continued use of our hosting platforms following the effective date of revisions denotes your full acceptance of the updated terms.
